Agreement to Terms

By accessing or using Hybrid Local AI Code Reviewer ("the Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you may not access the Service.

Description of Service

CodeSentinal is an Autonomous Engineering System that:

• Analyzes code on your local machine using AI and symbolic execution
• Provides security and compliance insights
• Autonomously generates code patches (L5 Autonomy)
• Generates cryptographic audit logs (Flight Recorder)

The Service operates primarily in local-only mode, maximizing data sovereignty.

Eligibility

You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that:

• You are of legal age to form a binding contract
• You have the authority to enter into these Terms
• Your use of the Service will not violate any applicable law or regulation

Account Registration

Individual Tier (Free)

• No account registration required for local-only usage
• No payment information required
• Community support available

Team/Enterprise Tier (Paid)

• Requires account creation
• SSO (Single Sign-On) may be required for Enterprise features
• Subscription payment required via Paddle
• Access to team policy management and advanced features

Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use

Subscription Terms

Pricing

• Individual Tier: Free (local analysis only)
• Team/Enterprise Tier: $49 per user per month (billed monthly)
• SOC2 Packages: Custom pricing (contact sales)

Payment Processing

• Payments are processed by Paddle (Merchant of Record)
• Paddle handles all payment processing, tax calculation, and invoicing
• Subscription fees are billed in advance on a monthly basis
• All prices are in USD unless otherwise stated

Billing and Renewal

• Subscriptions automatically renew each month unless cancelled
• You will be charged the subscription fee on the same date each month
• We will notify you of any price changes at least 30 days in advance
• Price changes will apply to your next billing cycle

Cancellation

• You may cancel your subscription at any time
• Cancellation takes effect at the end of your current billing period
• No refunds for partial billing periods
• Access to paid features continues until the end of your billing period

Refunds

• 30-Day Money-Back Guarantee: If you are not satisfied with the Service, contact us within 30 days of your initial purchase for a full refund
• Refunds are processed by Paddle
• Refund requests must be submitted to: visuvalingamvithushan@gmail.com
• Refunds may take 5-10 business days to process

Acceptable Use

Permitted Uses

You may use the Service to:

• Analyze your own code or code you have permission to analyze
• Generate compliance reports for your projects
• Apply automated fixes to your codebase
• Integrate with your development workflow (VS Code, CI/CD)

Prohibited Uses

You may NOT:

• Use the Service to analyze code without proper authorization
• Reverse engineer, decompile, or disassemble the software
• Remove or alter any copyright, trademark, or proprietary notices
• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to the Service or related systems
• Interfere with or disrupt the Service or servers
• Use automated systems (bots, scrapers) to access the Service
• Resell or redistribute the Service without authorization

Intellectual Property

Our Rights

• The Service, including software, documentation, and content, is owned by us or our licensors
• All rights, title, and interest remain with us
• You receive a limited, non-exclusive, non-transferable license to use the Service

Your Rights

• You retain all rights to your code
• We do not claim ownership of code analyzed by the Service
• Analysis results belong to you
• You may use analysis results for any purpose

Local-First Architecture

Data Handling

• Code Analysis: Performed locally on your device by default
• No Code Transmission: Code is not sent to our servers unless you explicitly opt-in to cloud LLM
• Local Storage: All analysis results, audit logs, and configuration stored locally
• Your Responsibility: You are responsible for backing up your local data

Service Availability

Uptime

• Local Service: Runs on your device, availability depends on your system
• Team Server (Enterprise): We strive for 99.9% uptime, but do not guarantee uninterrupted service
• Scheduled Maintenance: We may perform maintenance with reasonable notice

No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY
• FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• ACCURACY OF ANALYSIS RESULTS

Autonomous Code Liability

CRITICAL NOTICE: CodeSentinal generates code autonomously. While we strive for accuracy:

• You acknowledge that AI-generated code may contain errors, vulnerabilities, or regressions.
• YOU are the "Pilot in Command". You are solely responsible for reviewing, testing, and approving all code changes before deployment.
• We accept NO LIABILITY for damages caused by unreviewed AI-generated code deployed to production.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM

Termination

You may stop using the Service at any time. We may terminate or suspend your access immediately if you violate these Terms.

Changes to Terms

We reserve the right to modify these Terms at any time. We will post the updated Terms on this page and update the "Last Updated" date.
